Welcome to Outpost Exchange. By accessing or using the Outpost Exchange application and services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

1. Agreement to Terms

By creating an account, accessing, or using Outpost Exchange, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. These Terms constitute a legally binding agreement between you and Outpost Exchange. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Outpost Exchange is a marketplace platform connecting individuals for trading preparedness goods, surplus items, and general labor services. The platform enables users to create listings, negotiate trades, and enter into agreements with other users in their local area.

Outpost Exchange provides an AI-powered broker that assists with listing creation, trade negotiation, and contract facilitation. The AI broker is a tool designed to help users communicate and transact more efficiently. It does not act as a buyer, seller, or advocate for any party. All final decisions regarding trades, pricing, and agreements are made solely by the users involved.

Outpost Exchange is not a party to any transaction between users. We provide the platform and tools; users are responsible for the accuracy, legality, and fulfillment of their listings and agreements.

3. User Accounts

To use Outpost Exchange, you must create an account. By registering, you agree to the following:

• You must be at least 18 years of age to create an account and use the Service
• You are responsible for maintaining the confidentiality and security of your account credentials
• You may only maintain one account per person; creating multiple accounts is prohibited
• You must provide accurate and truthful information during registration
• You are responsible for all activity that occurs under your account
• You agree to notify us immediately of any unauthorized access to or use of your account

4. Listings and Trading

When you create a listing or engage in a trade on Outpost Exchange, you acknowledge and agree to the following:

• You are solely responsible for the accuracy, completeness, and legality of your listing descriptions, photos, and condition details
• You must own or have the legal right to sell, trade, or offer the listed item or service
• You will honor the terms of any agreement or contract you enter into with another user

The following items are strictly prohibited on Outpost Exchange:

• Firearms, ammunition, explosives, and weapons of any kind
• Illegal drugs, controlled substances, and drug paraphernalia
• Stolen property or goods obtained through illegal means
• Counterfeit or fraudulent goods
• Hazardous materials and toxic substances
• Items that violate any applicable law or regulation

The AI broker provides assistance with listing creation and trade negotiation, but users retain full responsibility for all decisions. AI-generated suggestions do not constitute professional, legal, or financial advice. Users must review and approve all terms before finalizing any transaction.

5. Subscriptions and Payments

Outpost Exchange offers the following subscription plans:

• Monthly Plan: $19.99 per month, billed monthly
• Annual Plan: $199 per year, billed annually (save over 15%)

All payments are processed securely through Stripe. By subscribing, you agree to the following:

• Subscriptions automatically renew at the end of each billing period unless cancelled
• You authorize Outpost Exchange and Stripe to charge your selected payment method on a recurring basis
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
• No refunds are provided for partial billing periods
• We reserve the right to modify subscription pricing with at least 30 days advance notice
• New subscribers may be eligible for a free trial period; trial terms will be clearly disclosed before enrollment

6. Affiliate Program

Outpost Exchange offers an affiliate program that allows users to earn commissions by referring new subscribers. By participating in the affiliate program, you agree to the following:

• Commissions are earned when a referred user subscribes to a paid plan
• Commission rates and structure are determined by Outpost Exchange and may be modified at any time
• Affiliate payouts are processed through Stripe Connect and are subject to Stripe's terms of service
• A minimum payout threshold must be met before funds can be withdrawn
• Fraudulent referrals, self-referrals, and manipulation of the referral system are strictly prohibited
• Outpost Exchange reserves the right to terminate affiliate accounts and withhold commissions for any abuse, fraud, or violation of these Terms
• Affiliates must not make misleading claims about Outpost Exchange or its services when promoting their referral links

7. Outpost Studio

Outpost Studio is an AI-powered video creation tool available to eligible subscribers. By using Outpost Studio, you agree to the following:

• Outpost Studio generates video content using artificial intelligence based on your listings and inputs
• You are solely responsible for reviewing, approving, and publishing any content created through Outpost Studio
• Content published to third-party platforms (including YouTube and TikTok) is subject to the terms of service and community guidelines of those platforms
• Outpost Exchange is not responsible for content removal, demonetization, or account actions taken by third-party platforms
• You must ensure that published content does not infringe on third-party intellectual property rights
• AI-generated content may not always be accurate; you are responsible for verifying all information before publishing

8. User Conduct

You agree to conduct yourself respectfully and lawfully on the platform. The following behaviors are prohibited:

• Harassment, threats, intimidation, or bullying of other users
• Fraud, phishing, scams, or deceptive practices of any kind
• Misrepresentation of your identity, listings, or qualifications
• Posting hate speech, discriminatory content, or sexually explicit material
• Attempting to coordinate transactions off-platform to circumvent safety features
• Creating multiple accounts or impersonating another person
• Interfering with or disrupting the Service or its infrastructure
• Using automated tools or bots to access or interact with the Service without authorization

9. Intellectual Property

The Outpost Exchange name, logo, branding, software, and all associated intellectual property are owned by Outpost Exchange and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property without prior written consent.

You retain ownership of content you create and post on Outpost Exchange, including listing descriptions, photos, and profile information. By posting content, you grant Outpost Exchange a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and promoting the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• Outpost Exchange is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory
• We do not guarantee the accuracy, reliability, or completeness of any listing, user content, or AI-generated recommendation
• We are not liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from your use of the Service
• We make no warranty regarding the accuracy, reliability, or usefulness of AI broker recommendations; users rely on AI-generated content at their own risk
• We are not responsible for the conduct of any user, whether online or offline
• Our total aggregate liability to you shall not exceed the amount you have paid to Outpost Exchange in the twelve (12) months preceding the claim

11. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine:

• Violates these Terms of Service
• Is harmful to other users or third parties
• Is fraudulent, deceptive, or otherwise inappropriate
• Involves the listing of prohibited items or engagement in prohibited activities

You may delete your account at any time through the app settings. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including limitation of liability, intellectual property, and dispute resolution) will remain in effect.

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. When material changes are made, we will notify you through the app or via email. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms. If you do not agree with the revised Terms, you must stop using the Service and delete your account.
