Welcome to Outpost Exchange. By accessing or using the Outpost Exchange application and services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). Outpost Exchange is a contract-gated platform that facilitates structured agreements between contractors and customers for local work and equipment exchange. If you do not agree to these Terms, do not use the Service.

1. Agreement to Terms

By creating an account, accessing, or using Outpost Exchange, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. These Terms constitute a legally binding agreement between you and Outpost Exchange. Outpost Exchange operates as a contract facilitation platform, connecting contractors with customers through structured, contract-gated agreements. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Outpost Exchange is a contract-gated platform connecting contractors with customers for local work and equipment exchange. The platform enables users to create listings, define contract scope, negotiate terms, and enter into structured agreements with other users.

Outpost Exchange provides AI-powered tools that assist with listing creation, contract scope definition, and communication between parties. These tools are designed to help users transact more efficiently. The AI does not act as a buyer, seller, contractor, customer, or advocate for any party. All final decisions regarding work scope, pricing, and contract terms are made solely by the users involved.

Outpost Exchange is not a party to any contract between users. The platform facilitates the creation and signing of structured agreements between parties. Users are responsible for the accuracy, legality, and fulfillment of their listings, contracts, and obligations.

3. User Accounts

To use Outpost Exchange, you must create an account. By registering, you agree to the following:

• You must be at least 18 years of age to create an account and use the Service
• Phone number verification via SMS is required to create and maintain an account
• You may only maintain one account per phone number; creating multiple accounts is prohibited
• You must provide your legal name and business address during registration; this information is collected and stored securely for identity verification and contract facilitation purposes
• Business name is optional but, if provided, must be accurate and truthful
• A device fingerprint may be collected for fraud prevention purposes
• You must provide accurate and truthful information during registration and keep your account information current
• You are responsible for maintaining the confidentiality and security of your account credentials
• You are responsible for all activity that occurs under your account
• You agree to notify us immediately of any unauthorized access to or use of your account

4. Listings and Services

Outpost Exchange supports two types of listings: Service Offered and Equipment Offered. Listing on Outpost Exchange is free. When you create a listing or engage with another user on the platform, you acknowledge and agree to the following:

• You are solely responsible for the accuracy, completeness, and legality of your listing descriptions, photos, and condition details
• You must have the legal right to offer the listed service or equipment
• You will honor the terms of any contract you enter into with another user

The following items and services are strictly prohibited on Outpost Exchange:

• Firearms, ammunition, explosives, and weapons of any kind
• Illegal drugs, controlled substances, and drug paraphernalia
• Stolen property or goods obtained through illegal means
• Counterfeit or fraudulent goods
• Hazardous materials and toxic substances
• Items or services that violate any applicable law or regulation

AI tools may assist with listing creation and contract scope definition, but users retain full responsibility for all decisions. AI-generated suggestions do not constitute professional, legal, or financial advice. Users must review and approve all terms before finalizing any contract.

5. Contract Signature and Fees

Outpost Exchange charges a facilitation fee when both parties sign a contract on the platform. By using the Service, you agree to the following:

• A 2.5% facilitation fee is charged when both parties sign a contract
• The fee is calculated on the total contract value as defined in the signed contract
• The facilitation fee is paid by the contractor at the moment of contract signature
• The fee is processed via Stripe as a one-time payment at the time of contract signature
• The facilitation fee is non-refundable once charged
• This is a transaction facilitation fee for connecting parties and structuring agreements; it is not a subscription fee, not a SaaS fee, and not a digital product purchase
• Outpost Exchange reserves the right to modify the fee percentage with at least 30 days advance notice to users

6. Privacy and Contact Information Gating

Outpost Exchange implements a contact information gating system to protect user privacy and ensure that the platform's contract facilitation process is followed. By using the Service, you acknowledge and agree to the following:

• Contact information, including phone number, email address, and physical address, is not visible to other users until a contract is fully created
• Upon contract creation (both parties sign and the facilitation fee is paid), contact information is shared between the two contracting parties only
• AI monitoring may flag messages that attempt to share contact information before a contract is fully created
• You agree not to circumvent the contact information gating system by any means
• Attempting to share or solicit contact information through in-app messages before a contract is fully created is a violation of these Terms

7. Outpost Exchange Studio

Outpost Exchange Studio is currently under construction and not available. It is expected to launch January 1, 2028.

8. Dispute Resolution

Outpost Exchange provides a structured dispute resolution process for contract disagreements:

• Either party to a contract may raise a dispute at any time while the contract is active
• Disputes open a 14-day resolution window during which both parties can communicate to resolve the issue
• If a dispute is not resolved within 14 days, the contract automatically moves to Failed status
• Outpost Exchange does not mediate, arbitrate, or adjudicate disputes between users
• Users are solely responsible for resolving their own disputes within the provided timeframe
• Failed contracts resulting from unresolved disputes are reflected in the parties' contract histories for 365 days
• The 2.5% facilitation fee is not refunded on disputed or failed contracts once charged

9. User Conduct

You agree to conduct yourself respectfully and lawfully on the platform. The following behaviors are prohibited:

• Harassment, threats, intimidation, or bullying of other users
• Fraud, phishing, scams, or deceptive practices of any kind
• Misrepresentation of your identity, listings, or qualifications
• Posting hate speech, discriminatory content, or sexually explicit material
• Attempting to coordinate transactions off-platform to circumvent safety features
• Circumventing the contact information gating system by any means
• Sharing contact information through in-app messages before a contract is signed
• Creating multiple accounts or impersonating another person
• Interfering with or disrupting the Service or its infrastructure
• Using automated tools or bots to access or interact with the Service without authorization

10. Intellectual Property

The Outpost Exchange name, logo, branding, software, and all associated intellectual property are owned by Outpost Exchange and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property without prior written consent.

You retain ownership of content you create and post on Outpost Exchange, including listing descriptions, photos, and profile information. By posting content, you grant Outpost Exchange a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and promoting the Service.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• Outpost Exchange is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory
• We do not guarantee the accuracy, reliability, or completeness of any listing, user content, or AI-generated recommendation
• We are not liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from your use of the Service
• We make no warranty regarding the accuracy, reliability, or usefulness of AI-generated content; users rely on AI-generated content at their own risk
• We are not responsible for the conduct of any user, whether online or offline
• Outpost Exchange does not guarantee the quality, legality, or completion of any work performed under contracts facilitated through the platform
• Contracts created on the platform are agreements between users; Outpost Exchange is not a party to these contracts
• Our total aggregate liability to you shall not exceed the amount you have paid to Outpost Exchange in the twelve (12) months preceding the claim
• Outpost Exchange is a facilitation platform only and does not employ, endorse, or supervise any contractor or customer on the platform
• Outpost Exchange bears no responsibility for the quality, safety, legality, or timeliness of any work performed or services rendered between users
• Users acknowledge that all contracts are private agreements between the contracting parties, and Outpost Exchange has no obligation to enforce, mediate, or guarantee the terms of any contract
• Outpost Exchange is not liable for any personal injury, property damage, financial loss, or consequential damages arising from work performed under contracts facilitated through the platform
• Users agree to hold Outpost Exchange harmless from any claims, disputes, or legal actions arising from contracts or transactions between users

12. Indemnification

You agree to indemnify, defend, and hold harmless Outpost Exchange, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Service or violation of these Terms
• Any contract you enter into with another user through the platform
• Any work performed, services rendered, or equipment exchanged under a contract facilitated through the platform
• Any dispute between you and another user
• Your violation of any applicable law, regulation, or third-party right
• Any content you post, submit, or transmit through the Service

13. Data Collection Notice

By using Outpost Exchange, you consent to the collection of the following information:

• Phone number (SMS verified)
• Legal name
• Business name (optional)
• Business address
• Device fingerprint
• Location data
• Listing content
• Contract details
• Message content

This data is used for identity verification, contract facilitation, fraud prevention, and platform operation. See our Privacy Policy for full details on data collection, storage, and usage.

14. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine:

• Violates these Terms of Service
• Is harmful to other users or third parties
• Is fraudulent, deceptive, or otherwise inappropriate
• Involves the listing of prohibited items or engagement in prohibited activities

You may delete your account at any time through the app settings. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including limitation of liability, indemnification, intellectual property, and dispute resolution) will remain in effect.

15. Changes to Terms

We reserve the right to modify these Terms of Service at any time. When material changes are made, we will notify you through the app or via email. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms. If you do not agree with the revised Terms, you must stop using the Service and delete your account.
